State Registration

What is state registration?

State registration is the process of formally registering your business with a state government. This includes forming entities in your home state and foreign qualifying in other states where you do business. Registration creates legal recognition of your business, enables you to use the court system, and often triggers ongoing compliance obligations like annual filings and franchise taxes.

Home state vs foreign qualification

Your home state is where you form your entity. Foreign qualification registers your entity in other states where you do business. Doing business typically includes having employees, offices, or significant sales in a state. Operating without required registration exposes you to penalties and may prevent you from enforcing contracts in that state's courts.

When registration is required

Each state defines doing business differently. Common triggers include physical presence, employees, inventory, and sometimes just sales above a threshold. Occasional transactions or isolated sales often do not require registration. When in doubt, register. The cost of registration is usually less than the consequences of operating without it.
