Foreign Qualification

What is foreign qualification?

Foreign qualification is registering your business to operate in a state other than the one where it was formed. In this context, foreign means out of state, not out of country. An LLC formed in Delaware doing business in Georgia qualifies as a foreign LLC in Georgia. The filing is separate from tax registration and is handled by the secretary of state. Growth across state lines usually triggers it.

What counts as doing business

Definitions vary, but an office, employees, or a regular physical presence almost always qualifies. Holding a professional license in the state, signing contracts there, or maintaining inventory can also count. Simply having a client there usually does not, though some states disagree. For licensed professions, the licensing board may impose its own registration requirement on top of the corporate filing. Check both.

Costs of registering and of not registering

Qualification brings annual report fees, a registered agent in that state, and often a franchise or minimum tax. Operating without qualifying can mean penalties, back fees, and the inability to enforce your own contracts in that state's courts. Some states bar unqualified entities from suing to collect unpaid invoices, which turns a paperwork oversight into an uncollectible receivable.
