Non-Disclosure Agreement (NDA)

What is a non-disclosure agreement?

A non-disclosure agreement is a legal contract that establishes confidentiality obligations between parties and protects sensitive business information shared during consulting engagements. NDAs define what constitutes confidential information, permitted uses, duration of obligations, and remedies for breach. For consulting firms, NDAs are typically signed before discovery conversations, during proposals, or as part of engagement agreements.

  • Defines confidential information (typically broadly to cover business data)

  • Specifies permitted uses (only for intended business purpose)

  • Establishes duration (commonly 2-5 years after engagement ends)

  • May be mutual (both parties share confidential info) or one-way

  • Includes carve-outs for publicly available information

  • Often incorporated into MSAs rather than signed separately

Why it matters for service firms

NDAs protect both consulting firms and their clients. Clients share sensitive financials, strategies, and operations during engagements; NDAs ensure this information isn't disclosed to competitors. Consulting firms also benefit: their methodologies, pricing, and client lists deserve protection. Having standard NDA templates accelerates deal cycles; clients increasingly require NDAs before any substantive discussion. Firms without transparent NDA processes risk losing opportunities or inadvertently breaching confidentiality.

Real-world example

Two competing healthcare companies approached Pinnacle Consulting within the same month. Both want strategy consulting for market expansion. Before discovery meetings, Pinnacle signs separate NDAs with each company. The NDAs specify that information from Company A cannot be used for Company B's engagement and vice versa. Pinnacle implements information barriers: separate teams, separate file storage, and no cross-pollination of insights. This allows the firm to serve both clients ethically while protecting each company's confidential strategies. Without proper NDA processes and ethical walls, Pinnacle would have had to decline one engagement.
