Form 2553

What is Form 2553?

Form 2553 is the IRS election form used by eligible corporations to be treated as S corporations for tax purposes, enabling pass-through taxation while maintaining corporate liability protection. For professional service firm owners, Form 2553 converts a C corporation or a new corporation to S corporation status.

Key characteristics

  • Elects S corporation status

  • Must meet eligibility requirements

  • Due within 75 days of formation

  • Or by March 15 for the current year

  • Requires shareholder consent

  • Late election relief available

Why it matters for professional service firms

S corporation election enables pass-through taxation and potential self-employment tax savings through a reasonable salary strategy. Missing the deadline means another year of C-corp taxation or missed savings. Professional service firm owners should file Form 2553 promptly when the S corporation status is beneficial.

Real-world example

Lisa formed her consulting corporation in February. S corp election strategy: filed Form 2553 within 75 days of formation. All shareholders signed the consent. IRS accepted the election effective from the formation date. Benefits: pass-through taxation, reasonable salary strategy for SE tax savings. Had she missed the deadline, she would have waited until the following year for S Corp benefits or requested late election relief.
